LEADOFF

Terms of Service

Effective October 14, 2026

1. The parties and these Terms

LEADOFF is a product and trade name of HORIZON EDGE CO LLC, a Utah limited liability company. LEADOFF is not a separate legal entity. In these Terms, "LEADOFF," "we," "us," and "our" mean HORIZON EDGE CO LLC, the party you contract with. Contact: goleadoff@gmail.com. Mailing address: 7533 S CENTER VIEW CT STE N, WEST JORDAN, UT 84084.

"Customer" means the individual who subscribes for themselves, or the organization on whose behalf an authorized representative subscribes. "User" means any person the Customer allows to access its LEADOFF organization. "Contact Data" means professional contact information about third parties made available through the service.

If you create or manage an organization account, you represent that you are authorized to bind that organization to these Terms. The organization is responsible for the actions of its Users, subject to applicable law. An employee or invited User is not personally liable under these Terms solely because of that role.

By clicking to agree, starting a trial, or using LEADOFF, you accept these Terms and acknowledge our Privacy Policy.

2. Eligibility, accounts, and seats

  • You must be at least 18 years old and able to form a binding contract.
  • LEADOFF is currently available only to organizations located in the United States. LEADOFF is temporarily not available to customers located in California. You must give an accurate business location and billing address, and tell us if your organization relocates. We may suspend access where these locations are in an area we do not currently serve.
  • You must give accurate account information and keep your credentials secure. Tell us promptly at our legal contact if you suspect unauthorized access.
  • Each organization has one Owner who controls billing, seats, and team membership.
  • Each seat is for one named individual. Sharing passwords, logins, or seats is not allowed.
  • Members and Admins receive access through their organization and cannot change its billing.
  • You are responsible for activity under your account unless caused by our breach of these Terms.

3. Subscription, billing, cancellation, and refunds

  • Price: $19 USD per purchased seat per month. For example, three seats cost $57 USD per month before applicable taxes. Applicable sales taxes are calculated from your billing address at checkout and on each renewal, are added to the price, and are shown on your invoices.
  • Free trial: 7 days. A payment card is required before the trial starts. One trial per organization and per eligible payment card.
  • The trial begins only after our payment processor, Stripe, confirms card setup and we confirm trial eligibility. Saving a card does not by itself guarantee a trial.
  • If your organization or card has already received a trial, or eligibility cannot be confirmed, no trial starts. We will show a paid-subscription offer, and your card is charged only if you confirm it. If you do, the first payment is charged immediately.
  • Unless you cancel during the trial, your card is charged $19 per purchased seat when the trial ends.
  • Your subscription then renews automatically every month, and your card is charged each billing period until you cancel.
  • By agreeing at checkout, you authorize these recurring charges on the terms shown to you.
  • The Owner can cancel anytime from Account, under Billing. Canceling during the trial prevents the first charge. Canceling a paid subscription prevents future renewals.
  • After cancellation, access continues through the end of the current trial or paid billing period.
  • We do not give automatic prorated refunds for ordinary voluntary cancellations, except where required by law or where we approve an exception in writing.
  • Seat changes are handled by Stripe, which may apply prorated charges or credits for the rest of the billing period.
  • Applicable taxes may be added where required.
  • If a payment fails, access may be restricted until the Owner restores billing.
  • Nothing in these Terms limits any right you have under law or your card issuer's rules to dispute a charge.

4. Fair use

Searches do not use any email-reveal allowance, but are subject to reasonable speed limits and service protections. The limits below count only newly chargeable email reveals: successful lookups of an email not previously revealed for your organization. Unsuccessful lookups and repeat retrieval of emails your organization already revealed do not count.

  • Free trial: 25 new email reveals per purchased seat for the entire 7-day trial.
  • Paid: 250 new email reveals per purchased seat in each actual billing period.
  • Allowances are shared across everyone in the organization. For three seats, the trial pool is 75 and each paid-period pool is 750.
  • Trial usage does not reduce your first paid-period allowance. Allowances do not roll over.
  • Each User is also limited to 10 new reveals per minute and 25 per day.
  • Repeat retrieval of emails already revealed for your organization does not use allowance, subject to licensing, retention, correction, and removal requirements.
  • Provider outages, security protections, or service-wide safeguards may pause new reveals even when allowance remains.
  • We may investigate, and temporarily restrict, suspected scraping, abuse, or attempts to get around these limits.

Email reveals are not unlimited. Availability of any particular email address is not guaranteed.

5. Permitted use and restrictions

You may use LEADOFF and individual Contact Data only for lawful professional purposes, such as professional networking, research, individualized outreach, and communication, during an active subscription. You must not, and must not allow anyone else to:

  • Scrape, crawl, harvest, or systematically extract contact records, or use bots or unauthorized automated requests.
  • Bulk-export or reconstruct all or a substantial part of any contact database.
  • Resell, sublicense, redistribute, or commercially repackage Contact Data.
  • Use Contact Data to build, train, or enrich a competing contact database, dataset, or AI model, or to enrich third-party datasets, without our express written permission.
  • Share accounts, or let more than one person use a seat.
  • Circumvent fair-use limits, rate limits, or security controls.
  • Use stolen payment methods or false identities, or impersonate any person or organization.
  • Stalk, threaten, harass, dox, or unlawfully target any person.
  • Violate privacy, anti-spam, consumer-protection, or electronic-communications laws.
  • Use any data for any unlawful, discriminatory, deceptive, or unauthorized purpose.

No consumer reports. LEADOFF is not a consumer reporting agency and does not furnish consumer reports. You must not use LEADOFF or Contact Data, in whole or in part, to determine any person's eligibility for credit, insurance, employment, housing or tenancy, government benefits, or any other purpose covered by the Fair Credit Reporting Act or similar laws.

Your compliance. You alone decide how you use Contact Data and are responsible for determining that your use is lawful. Getting an email address through LEADOFF does not mean the person consented to receive marketing or any other message. You must comply with applicable laws, including CAN-SPAM, state laws, and, where they apply, GDPR, ePrivacy rules, and CCPA/CPRA, and you must honor opt-out requests.

These restrictions apply except where applicable law expressly gives you a right that cannot be excluded.

6. Ownership and license

We and our licensors own LEADOFF, including its software, interface, design, branding and trademarks, architecture, functionality, documentation, original content, and improvements. Contact Data remains subject to the rights of its owners and licensors, including our data providers. You do not acquire ownership of LEADOFF, its software, or any underlying contact database, and you receive no direct rights in any provider's database.

Subject to these Terms and an active subscription, we grant the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right for its Users to access LEADOFF and use individual Contact Data for permitted purposes. Your rights end when your subscription ends or these Terms are terminated. You must not reverse engineer, copy, redistribute, or make unauthorized integrations with LEADOFF, or attempt to recreate its software or underlying data, except as applicable law expressly permits. You must not remove any legal notice included with Contact Data. If you send us feedback, we may use it without obligation to you.

7. Third-party contact information and providers

  • Contact Data comes from third-party sources and may be inaccurate, incomplete, outdated, or unavailable.
  • We do not independently verify, or guarantee, any person's identity, employment, email ownership, or the accuracy of any record.
  • A returned email is not guaranteed to be deliverable or to reach the intended person.
  • Providers may change, restrict, suspend, or discontinue their services, and data access may change because of licensing, privacy requests, corrections, deletions, or legal requirements.
  • No particular search result, person, company, or email is guaranteed to be available, now or later. Previously revealed emails may be removed or suppressed.
  • We may remove, update, or suppress Contact Data when required by law, provider agreements, or privacy requests. We cannot change data held independently by our providers.
  • The appearance of a person or organization in results is not an endorsement by them or of them.

8. Suspension and termination

We may suspend or terminate access, in whole or for particular Users, when reasonably necessary because of: a violation of these Terms; nonpayment; fraud; unlawful activity; a security threat or compromised account; automated harvesting; a violation of our data providers' license terms; legal or regulatory requirements; or material misuse by an organization or its Users.

We may restrict access immediately where needed to prevent ongoing harm. For non-urgent issues, we will try to give notice and a reasonable chance to fix the problem. You may stop using LEADOFF and cancel at any time. Suspension or termination does not remove any refund or other remedy that applicable law requires.

Sections 5 (restrictions on use of data already obtained), 6 (ownership), 9 (indemnification), 10 (disclaimers), 11 (limitation of liability), 12 (disputes), and 13 (general terms), along with payment obligations lawfully owed, survive termination.

9. Customer indemnification

To the extent permitted by applicable law, the Customer will defend, indemnify, and hold harmless HORIZON EDGE CO LLC and its officers, employees, agents, and applicable service providers from third-party claims, and related losses, damages, liabilities, reasonable attorneys' fees, and expenses, arising out of:

  • the Customer's or its Users' unlawful use of LEADOFF or Contact Data;
  • a violation of these Terms, including data-provider restrictions flowed down in them;
  • a violation of another person's privacy, intellectual-property, or other legal rights;
  • unlawful email campaigns, communications, or outreach;
  • scraping, unauthorized extraction, or redistribution of data;
  • the acts or omissions of the Customer's employees, agents, or Users; or
  • content or representations the Customer submits.

This obligation does not apply to the extent a claim is caused by our own breach, negligence, or willful misconduct, or where indemnification is not permitted by law. We will give prompt written notice of a claim (a delay only reduces your obligation to the extent it prejudices you), reasonably cooperate at your expense, and let you control the defense, except that you may not settle a claim that imposes obligations on us or admits fault on our behalf without our written consent. We may join with our own counsel at our expense. This section does not reduce any obligation we have directly to third parties.

10. Disclaimers

To the fullest extent permitted by applicable law, LEADOFF and all Contact Data are provided "as is" and "as available," without warranties of any kind, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not guarantee search-result accuracy, email deliverability, leads, sales, revenue, business opportunities, continuous uptime, or the availability of any provider. Non-waivable statutory warranties and rights are not affected.

11. Limitation of liability

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, or losses from service interruption, even if we were told they were possible.

To the fullest extent permitted by applicable law, our total aggregate liability arising out of or relating to LEADOFF or these Terms will not exceed the greater of (a) the amount the Customer's organization paid us for LEADOFF in the 12 months before the event giving rise to the claim, or (b) $100 USD.

These limits do not apply to liability that cannot be limited or excluded under applicable law, such as liability for fraud or, where the law so provides, for gross negligence, willful misconduct, or personal injury.

12. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and subject to any mandatory laws that apply to you. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice to the other (for us, at goleadoff@gmail.com) and good-faith discussion for 30 days. Unless mandatory law gives you the right to sue elsewhere, claims will be brought in the state or federal courts located in Utah. These Terms do not require arbitration and do not waive class actions.

13. General terms

  • Changes. We may update these Terms. We will notify account Owners of material changes before they take effect. Continued use after the effective date means acceptance; if you do not agree, you may cancel.
  • Notices. We send notices to the Owner's account email. You send notices to our legal contact or mailing address above.
  • Assignment. You may not assign your account or these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets, or reorganization, subject to applicable law.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including provider or infrastructure outages, but this does not excuse payment of amounts owed for service received.
  • Severability. If any provision is unenforceable, it will be limited to the minimum extent needed and the rest remain in effect.
  • No waiver. Not enforcing a provision is not a waiver of it.
  • Entire agreement. These Terms, the Privacy Policy, and the subscription offer you accept are the entire agreement about LEADOFF and replace earlier understandings on that subject.
  • Independent parties. No partnership, agency, or employment relationship is created.
